1. Agreement to Terms

By accessing or using Advisers ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use Advisers, you must:

• Be at least 18 years of age
• Have experience in SEO, marketing, or related professional fields
• Provide accurate and complete registration information
• Maintain an active paid subscription

3. Account Registration

3.1 Account Creation

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Subscription and Payment

4.1 Subscription Terms

• Advisers costs $169 per month or $1,690 per year
• Payment is processed securely through Stripe
• Your subscription automatically renews unless canceled
• You must maintain an active subscription for continued access

4.2 Founding Member Program

Advisers offers a limited Founding Member Program (100 spots) with the following terms:

• 6-Month Free Trial: Approved founding members receive 6 months of free premium access
• Automatic Conversion: After 6 months, your account will convert to a paid $169/month subscription
• Pre-Authorization: By accepting founding membership, you authorize Advisers to charge your saved payment method after the trial ends
• Cancellation Before Conversion: Cancel anytime before the trial ends to avoid charges. You have 7 days after trial expiration (grace period) to upgrade or lose access
• Read-Only Access During Grace Period: After expiration, you have 7 days with read-only access (view but cannot create). Full revocation occurs after this period
• No Refunds: No refunds will be issued for founding member trials. Founder status is non-transferable

4.3 Cancellation

• You may cancel your subscription at any time through your account settings
• Access continues until the end of your current billing period
• No refunds for partial months of service

4.4 Refunds

• 30-day money-back guarantee for new members
• Refunds for technical issues preventing access may be granted at our discretion
• No refunds if your account is terminated for violating these Terms

5. Community Guidelines

5.1 Acceptable Use

You agree to:

• Contribute meaningfully to discussions
• Share genuine insights and experiences
• Respect other members and their viewpoints
• Keep discussions professional and on-topic
• Follow category guidelines when posting
• Report violations to moderators

5.2 Prohibited Conduct

You may NOT:

• Self-promote: Share affiliate links, promote your services, or spam
• Harass: Engage in personal attacks, hate speech, or bullying
• Plagiarize: Copy content from others without attribution
• Mislead: Share false information or misrepresent your credentials
• Scrape: Use automated tools to extract data from the Platform
• Share credentials: Let others use your account
• Violate laws: Engage in illegal activities or encourage others to do so
• Disrupt: Interfere with the Platform's operation or other members' use

5.3 Founding Member Restrictions

Founding members who are in grace period (7 days after expiration) or have revoked access may NOT:

• Create new posts or comments
• Submit new resources or jobs
• Upload skills
• Create new consultations
• Read-only access is allowed for browsing existing content

Violations during grace period may result in immediate membership revocation without refund.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you post ("Your Content"). By posting, you grant Advisers:

• A worldwide, non-exclusive license to host, display, and distribute Your Content
• The right to moderate, edit, or remove Your Content if it violates these Terms
• Permission to use Your Content for promotional purposes (anonymized when appropriate)

6.2 Platform Content

All Platform features, design, functionality, and content (excluding Your Content) are owned by Advisers and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works from our Platform
• Reverse engineer or attempt to extract source code
• Use our branding, logo, or trademarks without permission

7. Moderation and Enforcement

7.1 Content Moderation

Our moderators may:

• Review and approve or reject new posts and comments
• Edit or remove content that violates guidelines
• Lock threads that become unproductive
• Pin important discussions for visibility
• Issue warnings for minor violations

7.2 Account Suspension and Termination

We may suspend or terminate your account if you:

• Violate these Terms or community guidelines
• Engage in self-promotion or spam
• Harass other members
• Repeatedly post low-quality or off-topic content
• Attempt to circumvent moderation or access controls
• Engage in fraudulent payment activity

No refunds will be issued for accounts terminated due to violations.

8. Disclaimers and Limitations

8.1 No Guarantees

Advisers is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Specific business results or outcomes
• Accuracy or reliability of user-generated content
• Compatibility with all devices or browsers
• Security against all potential threats

8.2 Limitation of Liability

To the maximum extent permitted by law, Advisers and its operators will not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Actions taken based on information shared on the Platform
• Conduct of other members
• Technical failures or data loss

Our total liability to you for any claim shall not exceed the amount you paid in subscription fees in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Advisers, its operators, moderators, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your Content or actions on the Platform
• Your infringement of any third-party rights

10. Privacy

Your use of Advisers is also governed by our Privacy Policy. Please review it at /privacy to understand how we collect, use, and protect your information.

11. Third-Party Services

The Platform integrates with third-party services:

• Stripe: Payment processing (governed by Stripe's terms)
• External Links: Marketplace deals, portfolios, and resources

We are not responsible for third-party services or their content. Use them at your own risk and review their terms and privacy policies.

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute, please contact us first. We'll work in good faith to resolve it.

12.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration rather than in court, except where prohibited by law.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. No class actions or representative proceedings are permitted.

13. General Terms

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Advisers.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

13.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

13.4 Assignment

You may not transfer or assign your rights under these Terms. We may assign our rights to any affiliate or successor.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use after changes constitutes acceptance. If you disagree with changes, you may cancel your subscription.
